Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agreely (the "Service"), operated by Agreely ("we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use Agreely. By using the Service you represent that you meet these requirements. The Service is intended for professional and business use by freelancers, consultants, and service providers — not for personal, family, or household purposes.

2. Your Account

You are responsible for maintaining the security of your account credentials. Do not share your password. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

You agree to provide accurate, current, and complete information when registering and to keep it updated.

3. Description of the Service

Agreely is an AI-powered proposal generation and management platform. It enables freelancers and consultants to:

  • Create professional proposals from project briefs using AI assistance
  • Manage client relationships and proposal history
  • Share proposals with clients via secure links
  • Collect electronic signatures and confirmations from clients
  • Track proposal analytics (views, time spent, acceptance)

4. AI-Generated Content

Important disclaimer: Agreely uses artificial intelligence (including models provided by OpenAI and Google) to generate proposal content. AI-generated content is produced automatically based on your inputs and may contain inaccuracies, omissions, or content that is not suitable for your specific situation.

  • You are solely responsible for reviewing, editing, and approving all AI-generated content before sending it to clients.
  • Agreely does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated text.
  • AI-generated proposals do not constitute legal, financial, or professional advice.
  • When you submit content to AI features, that content is processed by third-party AI providers as described in our Privacy Policy.

5. Plans, Billing & Subscription

5.1 Free Plan

Agreely offers a free tier with limited proposal quota and features. Free plan limits are displayed in the app and may change with reasonable notice.

5.2 Paid Plans

Paid plans unlock higher proposal quotas and additional features. By subscribing to a paid plan you authorise us (or our payment processor) to charge the applicable fees on a recurring basis at the interval you select (monthly or annual).

5.3 Cancellation & Refunds

You may cancel your paid plan at any time. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then. We do not offer pro-rated refunds for partial billing periods unless required by applicable law.

5.4 Price Changes

We may change plan pricing. We will give you at least 30 days' notice before any price change takes effect for existing subscribers. Continued use after the effective date constitutes acceptance of the new pricing.

6. Electronic Signatures

Agreely enables clients to accept proposals electronically via a combination of phone OTP (one-time password) verification and a drawn digital signature ("E-Signature"). By using or accepting an E-Signature through Agreely:

  • Both parties agree that E-Signatures have the same legal effect as handwritten signatures to the extent permitted by applicable law (including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and equivalent laws in other jurisdictions such as eIDAS in the EU).
  • The phone OTP verification step serves as an authentication mechanism to confirm the identity of the signing party.
  • Agreely records a signing certificate comprising the event timestamp, hashed phone number, and signature image as evidence of the signing transaction.
  • You are responsible for ensuring that the use of E-Signatures is legally valid for your specific use case and jurisdiction.
  • Agreely does not guarantee that E-Signatures collected through the Service will be enforceable in every jurisdiction for every type of agreement.

7. Your Data & Client Data

7.1 Your content

You retain ownership of all content you upload or create through Agreely. You grant us a limited, non-exclusive licence to host, process, and display your content as necessary to provide the Service.

7.2 Client data responsibility

When you store information about your clients in Agreely, you are acting as the data controller for that personal data. You represent and warrant that:

  • You have a lawful basis to collect and store your clients' personal information.
  • You will comply with all applicable data protection laws in your jurisdiction (including GDPR where applicable) when processing client data through our platform.
  • You will not upload client data that you are not legally authorised to use.

Agreely processes client data only as a data processor acting on your instructions. See our Privacy Policy for details.

8. Acceptable Use

You agree not to use Agreely to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use the Service for spam, phishing, or fraudulent proposals
  • Reverse-engineer, scrape, or copy the Service or its AI outputs at scale for competitive purposes
  • Resell or sublicence the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these rules.

9. Intellectual Property

9.1 Agreely's IP

Agreely and its underlying technology, design, and content (excluding your content) are owned by us or our licensors and are protected by intellectual property laws. You receive a limited, non-transferable licence to use the Service for its intended purpose.

9.2 AI-generated content ownership

To the extent that AI-generated proposal content can be owned, it belongs to you. We do not claim ownership over proposals you create. However, we may use aggregated, anonymised usage data to improve our AI models and service.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • Our total liability to you for any claim arising from or related to the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) USD $100.
  • We are not responsible for the content of AI-generated proposals or for any business outcome resulting from proposals sent to your clients.
  • We are not responsible for any loss arising from your clients' failure to sign, accept, or perform on a proposal.

11. Indemnification

You agree to indemnify and hold harmless Agreely and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your clients' personal data that you store or process through the Service.

12. Third-Party Services

The Service integrates with third-party services (OpenAI, Google, Supabase, Twilio, WhatsApp, PostHog). Your use of those services is governed by their own terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.

13. Termination

You may delete your account at any time. We may suspend or terminate your account with or without notice if you violate these Terms, if your account is inactive for an extended period on the free plan, or if we discontinue the Service. Upon termination your right to use the Service ceases. Data deletion following account termination is governed by our Privacy Policy.

14. Governing Law & Disputes

These Terms are governed by applicable law. We will make reasonable efforts to resolve disputes informally. If we cannot resolve a dispute informally within 30 days, either party may escalate to mediation before initiating formal legal proceedings.

Note: Agreely is not yet a registered legal entity. These Terms will be updated with a formal governing jurisdiction once the company is incorporated.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
